Terms of Service

These terms govern your use of Procurer, the procurement software available at procurer.io. By creating an account you agree to them on behalf of your company. Questions go to [email protected].

1. The service

Procurer provides software for purchase requests, approvals, purchase orders, receiving, invoice matching, budgets, supplier records and spend analytics. The features available to you depend on your plan, as described on the pricing page.

2. Accounts

You must provide a valid work email and keep your login details secure. The person creating the account confirms they may bind their company to these terms. You are responsible for the activity of user accounts in your workspace.

3. Subscriptions and billing

  • Procurer is sold as a subscription per company tier, billed monthly or yearly in advance.
  • Subscriptions renew automatically at the end of each billing period until cancelled.
  • You can move to a higher plan at any time, with the difference prorated. Moving to a lower plan takes effect at the next billing period.
  • Enterprise agreements may be invoiced annually by bank transfer under the terms of the order form.
  • Prices exclude taxes, which are added where required.

4. Cancellation

You can cancel at any time. Access continues until the end of the paid period and is not refunded for the remaining part of that period, unless the law requires otherwise. Your data stays exportable after cancellation until you ask us to delete it.

5. Acceptable use

You may not use Procurer to break the law, to send unsolicited messages to suppliers, to attempt to access other workspaces, to interfere with the service or to resell it without our written agreement.

6. Your data

Data you enter into your workspace belongs to your company. We process it only to provide the service, as described in the Privacy Policy. You can export it in CSV at any time.

7. Availability and support

We work to keep Procurer available at all times and schedule maintenance outside business hours where possible. Uptime commitments with service credits apply only to Enterprise agreements that include an SLA. Support is provided by email at [email protected], with the level of support set by your plan.

8. Third-party services

Procurer connects to accounting, messaging and identity services you choose, such as QuickBooks Online, Xero, NetSuite, Sage Intacct, Slack and Microsoft Teams. Your use of those services is governed by their own terms.

9. Warranties and liability

Procurer is provided as is, within the limits allowed by law. Payment decisions made on the basis of data in Procurer remain the responsibility of your company. Our total liability for any claim is limited to the fees you paid for the service in the 12 months before the claim.

10. Changes to these terms

We may update these terms. For material changes, we tell account holders by email before the change takes effect. Continued use after that date means you accept the updated terms.

11. Governing law

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law rules.
